Definitions

• "Content" — all data and materials provided and uploaded by Subscriber and its Permitted Users.
• "Documentation" — the knowledgebase enabling Permitted Users to use the Software.
• "Enhancement(s)" — any modification, update or addition to the Software.
• "Permitted User(s)" — an employee, client or contractor of the Subscriber who may access the Software.
• "Software" — Cubyts' proprietary platform hosted at app.cubyts.com, www.cubyts.com, and id.cubyts.com.
• "Subscription" — the limited, revocable, non-exclusive, non-transferable license granted to use the Services.

Subscription

Subject to the terms herein, the Company grants the Permitted User the right to use and access the Subscription during the Subscription Term for Subscriber's internal business use. Nothing herein grants any intellectual property right except as expressly provided.

Account Management

Permitted Users must register with accurate, complete, and updated information. Failure to do so constitutes a breach which may result in immediate account termination.

Restrictions

• No copying, modifying, reverse engineering, decompiling or disassembling the Software.
• No use to provide time-sharing, benchmarking or other computer services to third parties.
• No use by anyone other than the Permitted Users.
• No upload of unlawful, harmful, or malicious content.
• No violation of applicable laws or regulations.

Intellectual Property Rights

All ownership rights to the Software, Enhancements, Documentation and branding are the sole and exclusive property of the Company.

Term and Termination

• End of the applicable Subscription Term.
• Termination of the account by the Company.
• Breach of the terms of this Agreement.

Warranty Disclaimer

THE SOFTWARE AND SUBSCRIPTION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ALL OTHER IMPLIED OR STATUTORY WARRANTIES ARE DISCLAIMED.

Limitation of Liability

THE COMPANY WILL NOT BE LIABLE FOR LOSS OR INACCURACY OF DATA, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, OR FOR ANY DIRECT OR INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES.
